Employee Stock Ownership Plans
An Employee Stock Ownership Plan is a form of defined contribution plan under ERISA, that is used by closely-held corporate businesses to provide a market for owner shares. An ESOP also exists to incentivize employees to work for the future growth of the company through employee stock ownership. There are many tax incentives - both to selling stockholders and to employees that come to own stock through a trust.
Candidates for an ESOP are closely-held S-Corp and C-Corp companies that are profitable, with reasonable cash flow.
